These Terms govern all use of the Haven platform — estate subscriptions, resident and guard mobile apps, the admin portal, and the partner program.

1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Crovix Global Technologies Ltd. ("Crovix", "we", "us") governing your access to and use of the Crovix Haven platform in all its forms.
By subscribing to Haven as an estate, activating a user account, downloading the mobile application, or accessing any Crovix Haven surface, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
If you are accepting these Terms on behalf of a residential estate, homeowners' association, or other organisation, you represent that you have authority to bind that entity. In that case, "you" and "your" in these Terms refer to that entity.
If you do not agree to these Terms, you must not use the platform.
2. The Haven Platform
Crovix Haven is a property and estate management platform comprising:
- Resident & Visitor Mobile App — for gate access, visitor pass management, estate communications, service charge payments, and incident reporting.
- Guard / Scanner Terminal App — for security personnel to scan visitor QR passes and log gate activity in real time or offline-synced mode.
- Estate Admin Portal — a web dashboard for estate management to configure the estate, manage residents and staff, monitor gate activity, and run billing.
- Partner Platform — a web portal for registered referral partners to track estate referrals and commission records.
- Marketing Website — haven.crovix.tech, the public-facing information and subscription application site.
We reserve the right to add, modify, or discontinue any part of the platform with reasonable notice to affected subscribers.
3. Estate Subscriptions
3.1 Subscription Application
To activate Haven for a residential estate, the estate chairman or authorised representative must complete the onboarding application at haven.crovix.tech/subscribe. Submission of an application does not guarantee activation; each application is reviewed by the Crovix team for eligibility and compliance.
3.2 Plans & Pricing
Subscription plans are offered at the pricing listed on our website at the time of your application. Prices may be adjusted by Crovix with 30 days' notice to active subscribers. Continued use of the platform after the notice period constitutes acceptance of the new pricing.
3.3 Billing Cycles
Subscriptions may be paid monthly, annually, bi-annually (2-year), or tri-annually (3-year), subject to availability on your chosen plan. All fees are payable in advance for the selected billing period. Failure to remit payment by the due date may result in suspension of the estate's access pending resolution.
3.4 Onboarding Fee
Certain plans carry a one-time onboarding fee to cover the technical setup and deployment work performed by the Crovix team. This fee is non-refundable once the estate has been activated, regardless of subsequent cancellation.
3.5 Cancellation
An estate administrator may request cancellation of the subscription by contacting us at legal.haven@crovix.tech. Cancellations take effect at the end of the current billing period. We do not issue pro-rata refunds for unused time within a paid period.
3.6 Plan Limits
Each subscription plan carries limits on the number of residential units, gate access points, and staff accounts. Exceeding these limits without upgrading your plan may result in automatic notification and, if not resolved, service degradation for the affected functions.
4. User Accounts
4.1 Account Creation
Resident, guard, and staff accounts are provisioned by the estate administrator via the admin portal. Partner accounts are created upon successful registration through the partner platform. You are responsible for maintaining the confidentiality of your login credentials.
4.2 Account Responsibility
You are responsible for all activity that occurs under your account. You must notify us immediately at contact.haven@crovix.tech if you suspect unauthorised access to your account.
4.3 Accurate Information
You must provide accurate, current, and complete information when setting up or using your account and must keep this information updated.
5. Acceptable Use
You agree not to use the Crovix Haven platform to:
- Violate any applicable law, regulation, or third-party right.
- Transmit false, misleading, or fraudulent information (including fraudulent visitor pass generation).
- Attempt to bypass, disable, or tamper with security controls, including gate-access validation mechanisms.
- Reverse-engineer, decompile, or attempt to extract the source code of any Crovix software.
- Use the platform in a way that interferes with or degrades performance for other estates or users.
- Harvest, scrape, or aggregate data from the platform without explicit written consent from Crovix.
- Use automated tools, bots, or scripts to interact with the platform except through any officially provided API or integration.
- Harass, intimidate, or harm other users through platform communication features.
Crovix reserves the right to suspend or terminate access for any user or estate in breach of these rules, without prior notice in cases of serious or repeated violations.
6. Resident & Visitor Mobile App
6.1 Gate Access & Visitor Passes
Residents may generate time-limited digital visitor passes for guests. Passes are single-use unless otherwise configured by the estate. You must not share or transfer passes in ways that circumvent the estate's access policy. Crovix is not liable for unauthorised access resulting from a resident's careless handling of visitor passes.
6.2 Service Charge Payments
Payment of service charges through the app is processed by our payment gateway partners. By initiating a payment, you authorise the transaction. Disputes regarding service charge amounts must be raised with your estate management; Crovix is not party to billing disputes between estates and their residents.
6.3 Incident Reports & Communications
Content submitted via incident reports or estate messaging must be factual, respectful, and relevant to estate operations. You must not submit false, defamatory, or abusive content. The estate administrator may moderate content submitted by residents.
6.4 Emergency Alerts
Emergency alert features are provided for genuine safety situations within the estate. Misuse of emergency alerts may result in account suspension and may carry legal consequences under applicable law.
7. Guard / Scanner Terminal App
Security personnel using the scanner terminal app are bound by these Terms and the acceptable use requirements in Section 5. In addition:
- Scans and entry/exit logs made through the app are the official record of gate activity for the estate. Guards must not manipulate, falsify, or selectively omit scan records.
- The offline sync capability is provided to maintain continuity of service during network interruptions. Guards must ensure devices are synced at the earliest opportunity when connectivity is restored.
- Access to the guard terminal app is granted by the estate administrator. Unauthorised use of a guard account by a non-estate person is strictly prohibited and may be reported to law enforcement.
8. Estate Admin Portal
8.1 Administrator Responsibilities
The estate administrator (typically the estate chairman or their designated representative) is responsible for the overall configuration and use of the estate's Haven account, including:
- Accurate entry of resident and unit data.
- Appropriate assignment and revocation of staff and guard account permissions.
- Compliance with applicable data protection laws in the collection and management of resident information.
8.2 Data Ownership
Estate subscriber data — including resident rosters, gate logs, and financial records — belongs to the subscribing estate. Crovix processes this data on the estate's behalf and does not use it for any purpose beyond platform operation and support.
8.3 Data Export
Estate administrators may request an export of their estate's data at any time. On subscription termination, a final export will be made available for 30 days, after which data will be deleted per our retention policy.
9. Partner Program
9.1 Registration & Eligibility
Participation in the Crovix Haven Partner Program requires successful registration and approval by Crovix. We reserve the right to decline or terminate any partner registration at our discretion.
9.2 Referral Commissions
Commission rates and payout structures are defined in the Partner Agreement signed at registration. Commissions are payable only on estates that are successfully onboarded, activated, and remain in good standing. Crovix reserves the right to withhold or claw back commissions on subscriptions that are cancelled, fraudulently obtained, or reversed within 90 days of activation.
9.3 Partner Conduct
Partners must not make representations about Crovix Haven that are inaccurate, misleading, or contrary to our official materials. Partners may not offer discounts, incentives, or modifications to Haven's terms without express written consent from Crovix.
9.4 Termination
Either party may terminate the partner relationship with 30 days' written notice. Commissions earned and due up to the date of termination will be paid per the normal schedule. Commissions on estates referred but not yet activated at the time of termination are forfeited unless otherwise agreed in writing.
10. Intellectual Property
All software, design, content, trademarks, and materials on the Crovix Haven platform are the exclusive property of Crovix Global Technologies Ltd. or its licensors. Nothing in these Terms transfers any intellectual property rights to you.
You are granted a limited, non-exclusive, non-transferable licence to use the platform solely for its intended purpose during an active subscription or account. You must not reproduce, distribute, modify, or create derivative works of any part of the platform.
11. Limitation of Liability
To the fullest extent permitted by applicable law:
- Crovix is not liable for indirect, incidental, consequential, or punitive damages arising from your use of the platform.
- Crovix's total aggregate liability to you shall not exceed the subscription fees paid by your estate in the 3 months immediately preceding the event giving rise to the claim.
- Crovix is not liable for physical security incidents at your estate. The platform provides digital tools to support security management; it does not replace professional security personnel or infrastructure.
- Crovix is not responsible for acts or omissions of estate administrators, residents, guards, or third-party payment processors.
12. Service Availability
We target high platform availability but do not guarantee uninterrupted service. Planned maintenance will be communicated in advance wherever practical. The guard terminal app's offline sync capability is provided specifically to maintain gate operation during connectivity disruptions. Crovix is not liable for disruptions caused by force majeure events, internet infrastructure failures, or actions of third-party providers.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute arising under these Terms that cannot be resolved amicably shall be submitted to the jurisdiction of the courts of Lagos State, Nigeria.
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated to estate administrators and registered partners via email at least 14 days before taking effect. Continued use of the platform after the effective date constitutes acceptance. If you do not accept the updated Terms, you must discontinue use and notify us to initiate account closure.
